Quoni Expert & Creator Terms And Conditions

These Expert & Creator Terms and Conditions (“Terms”) govern the use of the Quoni platform by experts, coaches, consultants, mentors, creators, educators, speakers, trainers and other service providers (collectively, “Experts” or “Creators”).

By creating an Expert or Creator account, publishing a Service, accepting a booking, receiving a payment, communicating with a User through Quoni, or otherwise using Quoni in a professional capacity, you agree to these Terms.

These Terms form a legally binding agreement between you and the legal entity operating the Quoni platform (“Quoni”, “we”, “us”, or “our”).


1. Quoni’s Role

Quoni operates a technology marketplace and infrastructure platform that enables Experts and Creators to offer, market, manage and sell products and services to Users.

Services may include, without limitation:

  • Consultations;

  • Coaching and mentorship;

  • Courses;

  • Masterclasses;

  • Webinars;

  • Events and retreats;

  • Communities;

  • Digital content;

  • Educational products; and

  • Other services approved by Quoni.

Quoni provides technology and marketplace infrastructure and may facilitate functionality including discovery, bookings, payments, affiliate tracking, communication, event management and other related services.

Unless expressly stated otherwise, Quoni is not the provider of the Expert’s underlying services.

The Expert enters into the professional or commercial relationship with the User for the delivery of the purchased Service.

Quoni does not supervise, control or guarantee the quality, accuracy, legality, safety, suitability or outcome of any Expert’s Services.


2. Eligibility And Account Information

Experts must provide accurate, current and complete information when creating and maintaining their account.

Quoni may request information including:

  • Identity verification;

  • Professional qualifications;

  • Licences;

  • Certifications;

  • Business information;

  • Tax information;

  • Payment information;

  • Professional experience;

  • References;

  • Evidence supporting professional claims; and

  • Any other information reasonably required for verification or compliance purposes.

Experts must not misrepresent their identity, qualifications, experience, credentials, achievements, business results or professional background.

Quoni may approve, reject, suspend or remove an Expert account where information is inaccurate, misleading, unverifiable or inconsistent with Quoni’s standards.

Approval to the platform does not constitute an endorsement, certification or guarantee by Quoni unless expressly stated otherwise.


3. Expert Responsibility

Experts are solely responsible for all Services, information and content they publish or provide through Quoni.

This includes, without limitation:

  • Course materials;

  • Videos;

  • Images;

  • Documents;

  • Messages;

  • Advice;

  • Consultations;

  • Webinars;

  • Events;

  • Statements;

  • Marketing claims;

  • Pricing;

  • Descriptions;

  • Results claims;

  • Professional recommendations; and

  • Communications with Users.

Experts must ensure that everything they publish or provide complies with all applicable laws, regulations, professional standards and these Terms.

Quoni acts as an infrastructure and marketplace provider and is not responsible for statements, representations, advice, opinions, content or Services provided independently by Experts.


4. Quoni-Sourced Users

A “Quoni-Sourced User” means any person or organisation that discovers, contacts, communicates with, books, purchases from, follows, registers with, is introduced to, or otherwise establishes a commercial relationship with an Expert through Quoni or Quoni’s infrastructure.

This includes Users acquired through:

  • The Quoni application;

  • Quoni’s website;

  • Quoni events;

  • Quoni marketing;

  • Quoni affiliates;

  • Quoni advertisements;

  • Quoni communities;

  • Quoni referrals;

  • Quoni email or communication systems; or

  • Any other Quoni-operated acquisition channel.

The fact that an Expert subsequently communicates with a Quoni-Sourced User through WhatsApp, Telegram, email, telephone, social media, Zoom or another external channel does not change that User’s status as a Quoni-Sourced User.


5. Non-Circumvention Of Quoni

Quoni invests in technology, marketing, infrastructure, affiliates, payment systems and customer acquisition. Experts therefore agree not to circumvent the Quoni platform in relation to Quoni-Sourced Users.

Where a User has been sourced through Quoni, the Expert must process any sale of Services to that User through the Quoni platform.

Experts may not intentionally encourage, request, instruct or facilitate a Quoni-Sourced User to purchase Services directly from the Expert or through another platform for the purpose of avoiding Quoni’s infrastructure, commissions or fees.

Prohibited conduct includes, without limitation:

  • Requesting direct bank transfers;

  • Requesting cash payments;

  • Sending external payment links;

  • Sending external checkout links;

  • Directing Users to another marketplace to complete a transaction;

  • Moving a transaction to Stripe, PayPal, Revolut, cryptocurrency or another payment method outside Quoni;

  • Offering a lower price in exchange for paying outside Quoni;

  • Asking a User to cancel a Quoni booking and purchase directly;

  • Creating a separate agreement with a Quoni-Sourced User to avoid Quoni fees;

  • Using Quoni primarily to generate leads that are subsequently monetised outside Quoni; or

  • Any arrangement whose primary purpose or effect is to circumvent Quoni’s fees or commercial infrastructure.

Experts remain free to operate their own businesses and sell independently to customers they acquired independently of Quoni.

This restriction applies specifically to Quoni-Sourced Users.

The non-circumvention obligation applies throughout the Expert’s use of Quoni and, in relation to each Quoni-Sourced User, for 24 months following the Expert’s last commercial interaction with that User through Quoni, unless Quoni provides written permission otherwise.

Quoni may investigate suspected circumvention and request reasonable information concerning relevant transactions.

A violation of this section is considered a material breach of these Terms.

Quoni may, at its discretion:

  • Issue a warning;

  • Restrict account functionality;

  • Suspend the Expert;

  • Remove Services;

  • Withhold amounts where legally permitted and reasonably connected to outstanding refunds, chargebacks, fees or claims;

  • Permanently terminate the Expert’s account; and/or

  • Exercise any other contractual or legal rights available to Quoni.

Repeated, deliberate or material circumvention may result in immediate permanent removal from Quoni.


6. Free Services

Quoni allows Experts to provide certain Services free of charge as a customer acquisition, community-building or promotional mechanism.

An Expert may have a maximum of two (2) active free Services published on their Quoni channel at any given time.

Free Services may include:

  • Free consultations;

  • Free webinars;

  • Free events;

  • Free courses;

  • Free masterclasses; or

  • Other Services approved by Quoni.

The free-Service functionality must not be abused.

Experts may not repeatedly delete, recreate, rename, duplicate or restructure free Services for the purpose of bypassing the two-Service limitation.

Experts may not use free Services primarily to collect Quoni leads and subsequently sell to those Users outside Quoni.

Quoni is designed as a commercial marketplace. Experts who use free Services are expected, within a reasonable period, to make genuine paid Services available where appropriate to their business model.

Quoni reserves the right to determine whether the free-Service functionality is being abused and may require an Expert to introduce paid offerings, remove excessive free offerings, restrict free-Service functionality, suspend the account or remove the Expert from the platform.

Violation of the free-Service policy may result in removal from Quoni.


7. Paid Services

Experts are responsible for setting the price and commercial terms of their Services, subject to any platform requirements established by Quoni.

The Expert must clearly describe:

  • What the User receives;

  • The format of the Service;

  • The duration;

  • Any applicable dates;

  • Material requirements or restrictions;

  • What is and is not included; and

  • Any other information reasonably necessary for the User to make an informed purchasing decision.

Experts may not advertise misleading prices or charge Users undisclosed mandatory fees after purchase.


8. Platform Fees And Commissions

Quoni may charge platform fees, commissions, transaction fees, payment-processing fees, affiliate commissions or other charges in connection with transactions.

The applicable commercial structure will be displayed within the platform, Expert dashboard, onboarding documentation or another agreement entered into between Quoni and the Expert.

By accepting a transaction through Quoni, the Expert authorises Quoni and its payment partners to deduct applicable fees, commissions, refunds, chargebacks, taxes where applicable, and other authorised amounts before releasing the Expert’s payout.

Quoni may modify its fee structure by providing notice in accordance with applicable law.


9. Payments And Payouts

Payments may be processed by third-party payment providers.

Experts agree to comply with the terms and verification requirements of applicable payment providers.

Quoni does not guarantee that a payment provider will approve or process any transaction.

Payouts may be delayed where reasonably necessary due to:

  • Identity verification;

  • Fraud investigations;

  • Chargebacks;

  • Refund requests;

  • Payment disputes;

  • Regulatory requirements;

  • Suspected Terms violations;

  • Payment-provider requirements; or

  • Other legitimate risk or compliance concerns.

Experts are responsible for providing accurate payout information.


10. Refunds And Customer Disputes

Quoni may establish refund policies applicable to transactions conducted through the platform.

Where a dispute arises between a User and an Expert concerning a Service purchased through Quoni, Quoni may review available information including communications, Service descriptions, attendance records, delivery evidence, complaints and other relevant information.

To the maximum extent permitted by applicable law and applicable payment-provider rules, Quoni has final platform-level authority to determine whether a full or partial refund should be issued through Quoni.

Quoni may issue a refund where, in its reasonable determination:

  • A Service was not delivered;

  • The Service materially differed from its description;

  • The Expert failed to attend or provide the agreed Service;

  • The Expert violated these Terms;

  • The Expert engaged in misleading conduct;

  • Prohibited content or activities were involved;

  • The User was charged incorrectly;

  • Fraud or abuse occurred;

  • A refund is necessary to comply with applicable law or payment-provider requirements; or

  • Quoni reasonably determines that a refund is appropriate to protect Users or the integrity of the marketplace.

Where legally permitted, refunded amounts may be deducted from current or future Expert payouts.

Experts agree to reasonably cooperate with Quoni in investigating disputes.

Nothing in this section limits mandatory consumer rights under applicable law.


11. Chargebacks

If a User initiates a chargeback or payment dispute relating to an Expert’s Service, the Expert must reasonably cooperate with Quoni and provide requested evidence.

Where a chargeback results from the Expert’s conduct, failure to deliver, misleading description, breach of these Terms or other matter attributable to the Expert, Quoni may recover the corresponding amount and associated payment-processing or chargeback fees from the Expert where legally permitted.


12. Prohibited Content And Services

Experts may not upload, advertise, sell, promote or provide content or Services that:

  • Violate applicable law;

  • Facilitate criminal or fraudulent activity;

  • Infringe intellectual-property rights;

  • Contain knowingly false or materially misleading information;

  • Promote discrimination, harassment or unlawful hate;

  • Contain unlawful sexually exploitative content;

  • Promote scams or deceptive business practices;

  • Manipulate or deceive Users;

  • Violate applicable sanctions or financial-crime laws;

  • Require a professional licence that the Expert does not possess;

  • Promote illegal products or services; or

  • Otherwise create material legal, regulatory, safety or reputational risk for Quoni or its Users.

Quoni may remove content or Services where it reasonably believes these Terms have been violated.


13. Financial And Investment Content

Unless specifically authorised by Quoni and legally permitted in the applicable jurisdiction, Experts must not use Quoni to provide regulated financial, investment, securities, brokerage, portfolio-management or similar services requiring regulatory authorisation.

Educational content concerning finance, investing, business or markets must be clearly presented as educational or informational where appropriate and must not falsely represent itself as personalised regulated advice.

Experts are solely responsible for determining whether their activities require regulatory licences or authorisations.

Quoni’s acceptance of an Expert or Service does not constitute confirmation that the Expert’s activities are legally authorised.


14. No Income Claims Or Guarantees

Experts must not make false, misleading or unsubstantiated earnings, investment, business or performance claims.

Experts must not guarantee:

  • Specific income;

  • Specific investment returns;

  • Guaranteed profits;

  • Guaranteed business results;

  • Guaranteed employment;

  • Guaranteed customer acquisition;

  • Guaranteed personal outcomes; or

  • Any result that cannot legitimately be guaranteed.

Where an Expert refers to previous results, testimonials, revenue figures, case studies or earnings examples, the Expert must ensure that the statement is truthful, verifiable where required and compliant with applicable advertising and consumer-protection laws.

Past results must not be presented as a guarantee of future performance.


15. Professional And Regulated Services

Experts offering services in regulated fields are solely responsible for obtaining and maintaining all licences, registrations, certifications, insurance and regulatory approvals required by applicable law.

This may include areas such as:

  • Finance;

  • Investments;

  • Legal services;

  • Healthcare;

  • Mental-health services;

  • Nutrition;

  • Real estate;

  • Tax;

  • Accounting; or

  • Other regulated professions.

Quoni does not verify or guarantee that an Expert possesses every authorisation required in every jurisdiction in which their Service may be accessed.


16. Intellectual Property

Experts retain ownership of original content they upload to Quoni, subject to the licence granted below.

By uploading content to Quoni, the Expert grants Quoni a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, distribute, format and technically adapt that content as reasonably necessary to:

  • Operate the platform;

  • Display the Expert’s profile and Services;

  • Facilitate purchases;

  • Promote the Expert’s Quoni offerings;

  • Market Quoni and its marketplace; and

  • Provide platform functionality.

Quoni will not acquire ownership of the Expert’s underlying intellectual property solely because it is uploaded to the platform.

Experts warrant that they own or have obtained all necessary rights to content they upload.

Experts must not upload copyrighted, trademarked or otherwise protected material without appropriate permission.


17. User Data

Experts may receive access to certain User information solely for the purpose of providing Services purchased or accessed through Quoni.

Experts must not:

  • Sell User information;

  • Provide User data to unauthorised third parties;

  • Scrape or export User data for unauthorised purposes;

  • Use User information for unlawful marketing;

  • Use User information to circumvent Quoni;

  • Retain personal information longer than legally necessary; or

  • Otherwise process User information unlawfully.

Experts are independently responsible for complying with applicable privacy and data-protection laws in relation to any User data they independently process.


18. Communication With Users

Experts must communicate professionally and respectfully with Users.

Harassment, threats, discrimination, fraud, manipulation, deceptive sales tactics or other abusive conduct may result in immediate suspension or termination.

Experts must not use Quoni’s messaging or communication systems for spam or unrelated mass solicitation.


19. Reviews And Feedback

Users may be permitted to leave ratings, reviews or other feedback regarding Experts.

Quoni does not guarantee positive reviews and is not responsible merely because an Expert disagrees with a User’s opinion.

Quoni may remove reviews that violate applicable platform rules, including fraudulent, abusive or unlawful content.

Experts may not manipulate reviews through fake purchases, undisclosed incentives, coordinated review activity or other deceptive practices.


20. Events And In-Person Activities

Where an Expert organises an event, retreat, seminar, meeting or other physical activity, the Expert is responsible for the organisation and lawful operation of that activity unless Quoni expressly agrees otherwise in writing.

The Expert is responsible for obtaining any necessary:

  • Venue permissions;

  • Insurance;

  • Licences;

  • Safety measures;

  • Permits;

  • Staff; and

  • Other legally required arrangements.

Additional terms may apply to events organised directly by Quoni.


21. Taxes

Experts are solely responsible for determining and fulfilling their own tax obligations arising from income earned through Quoni, except where Quoni is legally required to collect, deduct, report or remit particular taxes.

Quoni does not provide tax advice.

Experts must provide accurate tax information where requested.


22. Independent Business Relationship

Experts use Quoni as independent service providers.

Nothing in these Terms creates an employment relationship, partnership, joint venture, agency, franchise or fiduciary relationship between Quoni and an Expert.

Experts are responsible for how, when and where they provide their Services, subject to these Terms and applicable law.

Experts have no authority to bind Quoni to an agreement or obligation unless expressly authorised in writing.


23. No Representation Of Quoni

Experts may accurately state that their Services are available through Quoni.

Experts may not represent that:

  • They are employees of Quoni;

  • Quoni guarantees their Services;

  • Quoni endorses their opinions;

  • They are authorised to act on behalf of Quoni; or

  • Their Services are provided directly by Quoni,

unless Quoni has expressly authorised such representation in writing.


24. Platform Integrity And Abuse

Experts must not attempt to:

  • Manipulate platform rankings;

  • Create fake accounts;

  • Generate fake purchases;

  • Manipulate affiliate tracking;

  • Artificially inflate engagement;

  • Exploit technical vulnerabilities;

  • Circumvent platform limitations;

  • Abuse promotions or free Services;

  • Interfere with other Experts;

  • Collect User information through deceptive means; or

  • Otherwise misuse Quoni’s infrastructure.

Quoni may investigate suspected abuse and take appropriate action.


25. Suspension And Termination

Quoni may restrict, suspend or terminate an Expert account where Quoni reasonably believes that:

  • These Terms have been violated;

  • Users are at risk;

  • Fraud or unlawful activity has occurred;

  • Circumvention has occurred;

  • Free-Service functionality is being abused;

  • The Expert has materially misrepresented their qualifications;

  • The Expert repeatedly fails to deliver purchased Services;

  • Excessive refunds or chargebacks occur;

  • The Expert creates material legal, regulatory or reputational risk;

  • A payment provider or authority requires action; or

  • Continued access would materially threaten the integrity of Quoni.

Serious violations may result in immediate termination without prior warning where permitted by applicable law.

Termination does not eliminate obligations that arose before termination, including outstanding refunds, chargebacks, taxes, confidentiality obligations, intellectual-property obligations and applicable non-circumvention obligations.


26. Expert Warranties

The Expert represents and warrants that:

  1. They have legal capacity to enter into these Terms;

  2. Information provided to Quoni is accurate;

  3. They have the right to provide the Services they list;

  4. Their Services comply with applicable law;

  5. Their content does not knowingly infringe third-party rights;

  6. They will obtain any legally required licences or permits;

  7. They will not make prohibited guarantees or misleading claims;

  8. They will comply with applicable consumer-protection laws;

  9. They will fulfil Services sold through Quoni in accordance with their published description; and

  10. They will not circumvent Quoni in violation of these Terms.


27. Disclaimer Of Warranties

To the maximum extent permitted by law, Quoni provides its platform and infrastructure on an “as is” and “as available” basis.

Quoni does not guarantee:

  • Uninterrupted platform availability;

  • Any minimum number of customers;

  • Any minimum revenue;

  • Any particular search ranking;

  • Any number of bookings;

  • Affiliate-generated sales;

  • Business success;

  • Compatibility with every device;

  • Continuous availability of third-party integrations; or

  • That every User will complete a transaction.

Quoni may modify, update, discontinue or replace platform functionality from time to time.


28. Limitation Of Liability

To the maximum extent permitted by applicable law, Quoni shall not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, revenue, business opportunity, goodwill or data, arising from an Expert’s use of the platform.

Quoni shall not be responsible for losses resulting from:

  • An Expert’s content or conduct;

  • A User’s conduct;

  • Transactions or arrangements entered into outside Quoni;

  • Third-party payment providers;

  • Third-party integrations;

  • Internet or technology failures;

  • Events outside Quoni’s reasonable control; or

  • The Expert’s violation of applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.


29. Indemnification

To the maximum extent permitted by applicable law, the Expert agrees to indemnify and hold harmless Quoni and its directors, officers, employees, contractors and affiliates from third-party claims, losses, liabilities, damages, penalties and reasonable legal costs arising from or relating to:

  • The Expert’s Services;

  • The Expert’s content;

  • The Expert’s breach of these Terms;

  • The Expert’s violation of applicable law;

  • Intellectual-property infringement by content supplied by the Expert;

  • Misleading claims made by the Expert;

  • The Expert’s professional advice or recommendations; or

  • The Expert’s misuse of User information.


30. Confidentiality

Experts must not disclose confidential or non-public information obtained through their relationship with Quoni, including confidential technical, commercial, operational or User information, except where disclosure is legally required.

This obligation survives termination where permitted by applicable law.


31. Fraud, Money Laundering And Sanctions

Experts must not use Quoni to facilitate fraud, money laundering, terrorist financing, sanctions evasion or other unlawful financial activity.

Quoni may conduct identity, fraud, sanctions or compliance checks where appropriate or legally required.

Quoni may suspend transactions or accounts where reasonably necessary for compliance or risk-management purposes.


32. Platform Changes

Quoni may add, remove or modify platform functionality from time to time.

Quoni may also update marketplace policies, content standards, fee structures and operational requirements.

Where a material change to these Terms is made, Quoni will provide notice as required by applicable law.

Continued use of Quoni after updated Terms become effective constitutes acceptance of the revised Terms where legally permitted.


33. Force Majeure

Quoni shall not be responsible for delay or failure to perform resulting from circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, telecommunications failures, cyber incidents, power outages, payment-network failures, epidemics or other force majeure events.


34. Severability

If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent legally permissible and the remaining provisions shall remain in effect.


35. No Waiver

Failure by Quoni to enforce any provision of these Terms on one occasion does not constitute a waiver of Quoni’s right to enforce that provision or any other provision in the future.


36. Assignment

Experts may not transfer or assign their rights or obligations under these Terms without Quoni’s prior written consent.

Quoni may assign or transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, financing, sale of business or transfer of the platform, subject to applicable law.


37. Entire Agreement

These Terms, together with Quoni’s Privacy Policy, User Terms, Refund Policy and any additional Expert agreement or platform policies expressly incorporated by reference, constitute the agreement governing the Expert’s use of Quoni.

Where a separate written agreement between Quoni and an Expert expressly conflicts with these Terms, the separate written agreement will prevail to the extent of that conflict.


38. Acceptance

By registering as an Expert or Creator, publishing a Service or continuing to use Quoni in a professional capacity, you acknowledge that you have read, understood and agreed to these Expert & Creator Terms and Conditions.

You further acknowledge that:

  • You are responsible for your own Services and content;

  • Quoni operates primarily as marketplace and technology infrastructure;

  • Quoni-Sourced Users may not be intentionally diverted away from Quoni for transactions in violation of these Terms;

  • A maximum of two active free Services may be offered at any time;

  • Free-Service functionality may not be abused;

  • You must comply with applicable laws and professional requirements;

  • You may not make prohibited financial, income or performance guarantees; and

  • Material violations may result in suspension or permanent removal from Quoni.
